Deal Structure Support

​The bigger picture is crucial. Details of course matter, but if on a large transaction the structure is flawed then the results will be what could be described as “suboptimal”. Hoped for business and personal objectives will not be met and a lot of effort and cost will be wasted.
 
It does not matter whether you are planning to engage an outsourcing service for a critical part of your business or perhaps a corporate disposal of a company you have built up for years. Spending time at the beginning of the deal working out the key objectives and components of the transaction will pay huge dividends in the long run. And it is surprising how often this does not happen at least to any material degree. There is a sort of assumption that you can move from the bright idea to detailed fulfilment without much grey matter in between.
 
This is where I can help. I have spent years as a commercial lawyer working in City practices and in house for global businesses and have advised on more complex transactions than I care to remember. The one lesson, the key experience that has stuck with me is to get the basics right at the beginning. 
 
  • Work out why your business is doing something, with whom and the expected benefits. 
 
  • Brainstorm the basic questions with key participants: who, what, when, why, how much, who. 
 
  • Create a road map with illustrative timing identifying stakeholders, affected parts of the business, advisers, potential roadblocks, people issues, financial impact, technology challenges and ownership.
 
I can help you facilitate this by working with you and examining your plans and the consequences. I recommend an on line or in person initial session to brainstorm and plan for the proposed transaction with all the key people present and no bar to praise or criticism. If there is a likely problem face it early. If there is a benefit recognise and build on it.
 
I can also assist in identifying key advisers particularly in the legal field who will need to be engaged to support the transaction and when.
